Terms of Service

1. Agreement
These terms are a contract between you (the customer) and Superstellar Sàrl, Baarerstrasse 52, 6300 Zug, Switzerland (commercial register CHE-433.879.620) ("we", "us"). By creating an account or using Crepusculeyou accept them. If you act on behalf of a company, you confirm you are authorized to bind it, and "you" means that company.
Crepuscule is offered exclusively to businesses and professionals acting in a commercial capacity. It is not offered to consumers, and mandatory consumer protection rules are therefore not intended to apply. If you are acting as a consumer, do not use the service.
2. The service — and its beta status
Crepuscule is an accounting assistant: it extracts data from invoice documents using AI, proposes matches against your bank movements, and — only when you confirm — posts entries to your bexio ledger.
Crepuscule is beta software. Features may change, be interrupted, or be withdrawn without notice. Availability is provided on a best-effort basis; we offer no uptime guarantee or service-level agreement during the beta. Do not rely on Crepuscule as your only copy of any document or record.
3. Not accounting, tax, or legal advice
Crepuscule is a software tool, not an accountant, fiduciary, auditor, or tax advisor. Nothing the service produces — extractions, match suggestions, proposed postings, summaries — constitutes accounting, tax, or legal advice. AI-based extraction and matching can be wrong, including in ways that look plausible and self-consistent.
You are responsible for reviewing every entry before and after it is posted to your ledger, and for the accuracy and completeness of your books, your tax filings, and your compliance with bookkeeping obligations — including the ten-year retention duty under Art. 958f of the Swiss Code of Obligations. Where professional judgment is needed, consult a qualified accountant or auditor.
4. Your account and obligations
- Provide accurate account information and keep your credentials confidential.
- Only upload documents and data you have the right to process, and use the service in compliance with applicable law.
- Do not attempt to probe, disrupt, reverse-engineer, or access the data of other tenants; report suspected vulnerabilities to yann.borie@superstellar.io instead. We will not pursue good-faith security research that respects tenant boundaries and gives us reasonable time to remediate.
- Do not use the service to process special categories of personal data, or to circumvent usage quotas or rate limits.
- You are responsible for the actions of users you invite into your organization.
5. Data protection
For the content you upload — documents, extracted data, and bank movements — you are the controller and we act as your processor. We process that content only on your instructions and for the purposes of providing the service. Our commitments as processor, including security measures, subprocessors, international transfers, retention, and breach notification, are set out in the privacy policy, which forms part of these terms.
We will give reasonable advance notice before adding or replacing a subprocessor that processes customer content. If you object on reasonable data protection grounds and we cannot offer an alternative, you may terminate without penalty.
6. Third-party services
Crepuscule connects to your bexio account through an OAuth authorization that you grant and can revoke at any time in bexio. Your use of bexio remains governed by your agreement with bexio AG, and we are not responsible for its availability, accuracy, or changes to its API.
7. Fees
Crepuscule is provided free of charge during the beta. Usage limits apply, including a monthly document-processing quota. We will give at least 30 days' advance notice before introducing paid plans, and you will never be charged without first accepting the applicable pricing.
8. Your data and our IP
You retain all rights to the documents and data you upload. You grant us only the rights needed to process them in order to provide the service, as described in the privacy policy. We retain all rights to the Crepuscule software, service, and branding. We do not use your documents or data to train AI models, and we do not use them to develop features for other customers except in aggregated, anonymized form that cannot be attributed to you.
9. Confidentiality
Each party will keep the other's non-public information confidential and use it only for the purposes of this agreement. This does not apply to information that is or becomes public without breach, was already lawfully known, or must be disclosed by law — in which case, where legally permitted, we will notify you first.
10. Warranty disclaimer
To the extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, express or implied — including fitness for a particular purpose, merchantability, non-infringement, accuracy of extractions or matches, and uninterrupted or error-free operation.
11. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential damages, lost profits, lost data, or business interruption, nor for damage resulting from entries you approved for posting to your ledger or from your failure to review them.
Our total aggregate liability arising out of or in connection with these terms is limited to the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to the claim, and (b) CHF 500.
These limitations do not apply to liability for unlawful intent or gross negligence, which cannot be excluded in advance under Art. 100(1) of the Swiss Code of Obligations, nor to liability for death or personal injury, nor to any other liability that cannot lawfully be limited.
12. Term and termination
You may stop using the service and delete your organization at any time. We may suspend or terminate accounts that materially breach these terms or create a security risk — with notice where circumstances allow, immediately where they do not — and may discontinue the beta with reasonable notice.
On deletion of your organization, your data enters a 7-day grace period, after which your organization's encryption key is destroyed and your encrypted data becomes permanently unrecoverable, as described in the privacy policy. Export anything you need before deleting. On termination by us other than for your breach, we will give you a reasonable opportunity to export your data first.
Sections 3, 8, 9, 10, 11, and 15 survive termination.
13. Changes to these terms
We may update these terms as the service evolves. Material changes will be announced in the application or by email at least 30 days before they take effect; continued use after the effective date constitutes acceptance. If you do not accept a change, you may terminate before it takes effect.
14. General
- Force majeure — neither party is liable for failure to perform caused by events beyond its reasonable control, including outages of infrastructure or third-party services on which the service depends.
- Severability — if a provision is held invalid or unenforceable, the rest remains in force, and the invalid provision is replaced by a valid one that comes closest to its economic intent.
- Assignment — you may not assign this agreement without our written consent. We may assign it to a successor in connection with a merger, acquisition, or sale of assets, on notice to you.
- No waiver — failure to enforce a provision is not a waiver of it.
- Notices — we give notice by email to your account address or in the application; you give notice to yann.borie@superstellar.io.
- Entire agreement — these terms and the privacy policy are the whole agreement between us on their subject matter. Where they conflict, the privacy policy governs on data protection and these terms govern on everything else.
15. Governing law and venue
These terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction is Zug, Switzerland, the registered seat of Superstellar Sàrl, subject to any mandatory statutory venue.
